1. Agreement
These terms govern the website at metricverification.com, the app, and the verification service (together, the Service), operated by Workmain Inc. (Workmain, we, us). By using the Service you agree to them. If you use the Service for a company, you agree for that company and confirm you have authority to do so. Company and you mean that company.
2. Engagements
You request a verification through the Service. We confirm each engagement by email, stating the metric, the method, the data sources, the fee, and the expected date. The engagement starts when we send that confirmation and you pay the fee. The confirmation and these terms are the whole agreement for that engagement. Where they differ on scope, fee, or timing, the confirmation controls. We may decline any request.
3. What a verification is
A verification is a report of findings. It records the metric, the method used, the types of data sources examined, the dates, and the name and role of the person who submitted it. The methods are described at /methods. A verification is not an audit, an opinion, a guarantee, an endorsement, or a recommendation of any company. It makes no statement about anything we did not examine, and it speaks as of the dates it shows.
4. What you give us
You warrant that the records, systems, and statements you provide are accurate and complete, and that you have the right to provide them and to grant the access you grant. In a witnessed verification, you warrant that the person running the query has authority to do so. We take no custody of your raw records beyond a working file of extracts and notes. False or misleading material voids the engagement, forfeits the fee, and permits revocation.
5. Revocation and annotation
We may revoke, suspend, or annotate a verification at any time if we learn that material provided to us was false or misleading, that the metric or its data sources changed, or that the verification is being misrepresented. We may refuse or end any engagement. We owe you nothing for doing so, and no fee is refunded.
6. How you may show a verification
You decide who sees your verification and where it appears. You may not change its meaning, present a revoked or annotated verification as current, or state or imply that it is a certification, an audit, or an endorsement. A verification is shown by linking to its page on the Service or by embedding what the Service provides. We name a customer or cite a verified metric in our own materials only with that customer's written consent.
7. People who view a verification
A verification is prepared for the company that requested it. Anyone else who views it does so at their own risk. We owe no duty to viewers, we have no agreement with them, and a viewer may not rely on a verification as a substitute for their own inquiry. A verification is a report of findings as of its dates and says nothing about anything it does not show.
8. Ownership
Your business records remain yours. The verification, the method descriptions, and the Service, including its marks, text, and design, belong to Workmain. You grant us the rights needed to examine what you provide and to show the verification as you direct. While a verification stands, you may display it and link to it.
9. Fees
The fee for each engagement is stated in the confirmation. It is due in advance, and the examination begins after payment. If we cannot complete an examination for a reason on our side, we refund the fee in full. There is no refund if the findings do not support the metric, if you withdraw, or if you do not provide the records or access the confirmation describes.
Continual, the monthly re-confirmation of a verified metric, is billed monthly in advance at the fee stated in the confirmation and continues until you cancel. Cancel at any time from the link in any Continual invoice or by emailing hello@metricverification.com; cancellation takes effect at the end of the paid month, and we tell you in writing before the monthly fee changes.
10. Accounts
Keep your credentials confidential. You are responsible for everything done through your company's accounts, including by the people you authorize. Tell us at once if a credential is compromised. We may close accounts that breach these terms.
11. Disclaimer
The Service is provided as is and as available, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error free, or that a verification will support your metric.
12. Limit of liability
To the extent the law allows, Workmain is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, business, or data, however caused. Our total liability for all claims arising from the Service will not exceed the fees you paid us in the twelve months before the claim arose, or $100, whichever is greater.
13. Indemnity
You will defend and indemnify Workmain and its officers, employees, and contractors against claims, losses, and costs, including reasonable legal fees, arising from the material you provide, from how you or anyone acting for you shows or describes a verification, or from your breach of these terms.
14. Disputes
These terms are governed by the laws of the State of California, without regard to its conflict of laws rules. Any dispute arising from the Service will be resolved by binding arbitration before JAMS in San Francisco, California, under its Streamlined Arbitration Rules, by one arbitrator. Claims are brought individually. You and we each waive the right to a jury trial and to take part in a class or representative action. Either side may bring a qualifying claim in small claims court instead. You may opt out of arbitration by emailing hello@metricverification.com within 30 days of first agreeing to these terms. Anything not resolved by arbitration goes to the state or federal courts in San Francisco County, California, and each side consents to their jurisdiction.
15. Changes
We may change these terms. When we do, we update the date at the top of this page and email every account holder. A change applies to engagements confirmed after its effective date. Using the Service after that date means you accept the change.
16. General
These terms, with each engagement's confirmation, are the entire agreement between you and Workmain. If a provision is found unenforceable, the rest stands. You may not assign your rights without our written consent. Sections 3 through 8 and 11 through 14 survive the end of any engagement or account.
